Jefferies is a major global securities and investment banking group that has served companies and their investors for more than 45 years and operates in more than 25 cities around the world. The firm is a top restructuring advisor with dedicated industry groups specializing in financial institutions and municipal finance.

Gordian Group is an independently-owned investment bank based in New York City that provides financial advisory services in distressed and complicated situations. Gordian professionals are recognized experts in restructuring and reorganizations, mergers and acquisitions, public and private financings, and matters requiring opinions and expert testimony.

Jefferies and Gordian have assisted OCI in assessing Ambac's financial condition, its exposure to credit risk, liquidity risk and other risks as well as the evaluation of reporting information submitted by Ambac. Their role includes the development of strategic and tactical approaches to the design and implementation of a comprehensive restructuring plan.

Todd Cooper, an expert with more than 17 years of experience in Collateralized Debt Obligations (CDOs) and other structured credit products, has also advised OCI. Mr. Cooper was a lead banker on structured credit transactions at Wachovia Capital Markets, LLC. He previously held similar positions at Swiss Re, Barclays Capital and Bear Stearns.
